Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of AgentKey, the authorization and security infrastructure platform operated by AgentKey ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of service

AgentKey provides API key management, granular permission policies, server-side authorization checks, audit logging, and human-in-the-loop approval workflows for autonomous AI agents. The Service is provided as a hosted software-as-a-service product and may include developer APIs, SDKs, and a web dashboard.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or security breach.

4. Acceptable use

You agree not to:

• Use the Service to violate any law, regulation, or third-party right;
• Access or attempt to access data or systems you are not authorized to reach;
• Reverse engineer, resell, or circumvent plan-based usage limits or rate limits;
• Deploy the Service in a manner that creates unreasonable risk to safety, privacy, or the integrity of third-party systems;
• Interfere with the Service's operation or its infrastructure.

5. Plans, billing, and usage limits

AgentKey offers paid subscription plans with defined usage limits (e.g. monthly authorization requests and number of agents). Plan limits are enforced server-side. We may suspend or throttle service when limits are exceeded. Fees are billed in advance on a recurring basis unless otherwise stated. You may cancel a paid plan at any time; cancellation takes effect at the end of the current billing period and is not retroactively refunded except as described in our Refund Policy.

6. Your content and data

You retain ownership of the data you submit to the Service, including agent configurations, permission policies, and metadata passed to the authorization endpoint. You grant us a limited license to process your data solely to operate and improve the Service. You are responsible for ensuring you have the rights to send any data you submit.

7. Intellectual property

We own all right, title, and interest in the Service, including its software, design, and documentation, excluding your content. These Terms do not grant you any right to our trademarks, brand, or proprietary technology beyond the limited right to use the Service under your plan.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will prevent every unauthorized action by your agents. You are responsible for your own security posture and for reviewing authorization decisions appropriate to your risk.

9. Limitation of liability

To the maximum extent permitted by law, AgentKey shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business interruption, arising out of or related to the Service, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. Our aggregate liability is limited to the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold AgentKey harmless from claims, damages, and expenses arising from your use of the Service, your content, or your violation of these Terms or any third-party rights.

11. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms or if maintaining your account becomes legally or commercially impractical. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable retention period, except where retention is required by law.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance. The "Effective" date above indicates the last revision.
